1. Agreement to Terms

Welcome to Ile App ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our electronic device and motor vehicle management platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using Ile App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service. These Terms apply to all users, including visitors, registered users, merchants, lenders, and administrators.

These Terms are governed by the laws of Kenya. By using the Service, you agree that any disputes shall be subject to the exclusive jurisdiction of the courts of Kenya.

Please read these Terms carefully before using our Service. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

Ile App is a fraud prevention and asset management platform that enables users to:

  • Register electronic devices (phones, laptops, tablets, accessories) and motor vehicles
  • Verify asset ownership and authenticity
  • Transfer asset ownership between users
  • Report stolen assets and track recovery
  • Search and verify assets before purchase
  • Manage asset information and documentation

The Service is designed to help prevent fraud, track asset ownership, and facilitate secure asset transfers. We provide the platform and tools, but we do not guarantee the accuracy of user-provided information or the recovery of stolen assets.

3. Account Registration and Eligibility

3.1 Eligibility

To use Ile App, you must:

  • Be at least 18 years old (the age of majority in Kenya)
  • Have the legal capacity to enter into binding agreements under Kenyan law
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information as necessary
  • Be responsible for all activities that occur under your account

3.2 Account Types

Ile App offers different account types:

  • Personal Users: For individuals registering personal assets
  • Merchants: For businesses selling and registering assets on behalf of customers
  • Lenders: For financial institutions managing assets used as loan collateral

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use of your account
  • Using a strong, unique password

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. User Responsibilities

4.1 Accurate Information

You agree to provide accurate, truthful, and complete information when:

  • Registering assets (IMEI numbers, serial numbers, MAC addresses, registration numbers)
  • Creating your account profile
  • Reporting stolen assets
  • Transferring asset ownership
  • Uploading documents or evidence

Providing false, misleading, or inaccurate information may result in account suspension or termination, and may constitute fraud.

4.2 Asset Ownership

You represent and warrant that:

  • You are the legal owner of any asset you register, or you have authorization from the owner
  • You have the right to transfer any asset you initiate a transfer for
  • Assets you register are not stolen, fraudulently obtained, or subject to liens or encumbrances (unless disclosed)
  • You have valid proof of purchase for registered assets

4.3 Legal Compliance

You agree to:

  • Comply with all applicable laws and regulations of Kenya
  • Not use the Service for any illegal or unauthorized purpose
  • Respect the intellectual property rights of others
  • Not violate any third-party rights

4.4 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Transmit any viruses, malware, or harmful code
  • Spam or abuse communication features

5. Asset Registration Rules

5.1 Registration Requirements

When registering an asset, you must provide:

  • For Electronic Devices: IMEI number, serial number, MAC address, brand, model, and purchase information
  • For Vehicles: Registration number, chassis number, engine number, make, model, and purchase information
  • Proof of Purchase: Valid receipt or purchase documentation (recommended)
  • Asset Images: Photos of the asset (recommended)

5.2 Registration Fees

Registration fees apply as follows:

  • Vehicles: KES 500 per registration
  • Smartphones, Tablets, Smart Watches, Accessories: KES 100 per registration
  • Other Electronic Devices: KES 200 per registration

Fees are non-refundable once payment is processed, except as required by law or as specified in our refund policy.

5.3 Registration Accuracy

You are solely responsible for the accuracy of asset information you provide. We do not verify the accuracy of user-provided information and are not responsible for errors, omissions, or inaccuracies in asset registrations.

If you discover an error in your asset registration, you should update it immediately. We reserve the right to flag or remove registrations that contain false or fraudulent information.

6. Asset Transfers

6.1 Transfer Process

Asset transfers require:

  • Valid ownership of the asset being transferred
  • Digital signature confirmation from the current owner
  • Transfer code sent to the new owner's contact information
  • Payment of transfer fee (KES 100 per asset)
  • Acceptance and confirmation by the new owner

6.2 Transfer Fees

A transfer fee of KES 100 applies to each asset transfer, regardless of asset type or value. This fee must be paid before the transfer is completed. Transfer fees are non-refundable once the transfer is completed.

6.3 Transfer Codes

Transfer codes are unique, time-limited codes (valid for 24 hours) sent to the new owner's email or phone number. You must keep transfer codes confidential and not share them with unauthorized parties. Transfer codes expire after 24 hours if not used.

6.4 Transfer Restrictions

You cannot transfer an asset if:

  • The asset is reported as stolen
  • The asset is subject to a lien or encumbrance (unless properly disclosed)
  • You are not the legal owner or authorized to transfer the asset
  • The transfer code has expired
  • The system flags the asset for fraud prevention review

6.5 Transfer Completion

Once a transfer is completed and payment is confirmed, ownership is transferred to the new owner. Transfers are final and cannot be reversed except in cases of fraud or error, subject to our review and approval.

7. Stolen Asset Reporting

7.1 Reporting Requirements

When reporting an asset as stolen, you must provide:

  • Accurate incident details (date, location, description)
  • Location data (GPS coordinates) where the theft occurred
  • Police report number (if available)
  • Evidence files (photos, documents) supporting your report
  • Witness contact information (if available)

7.2 False Reports

Falsely reporting an asset as stolen is a serious violation of these Terms and may constitute fraud. False reports may result in:

  • Immediate account suspension or termination
  • Legal action
  • Reporting to law enforcement authorities
  • Permanent ban from the Service

7.3 Asset Recovery

We provide tools to help track and report stolen assets, but we do not guarantee recovery. Recovery depends on law enforcement efforts and other factors beyond our control. If you recover a previously reported stolen asset, you must update the report status in the Service.

8. Payment Terms

8.1 Payment Processing

Payments are processed through PesaPal, our third-party payment processor. By making a payment, you agree to PesaPal's terms and conditions. We do not store or have access to your full payment card details.

8.2 Payment Methods

All payments are processed exclusively through PesaPal, our third-party payment processor. PesaPal supports various payment methods including mobile money, credit/debit cards, and bank transfers through their platform.

8.3 Fees and Charges

All fees are displayed before you complete a transaction. Fees include:

  • Registration fees (KES 100-500, depending on asset type)
  • Transfer fees (KES 100 per asset)
  • Any applicable payment processing fees

All fees are in Kenyan Shillings (KES) unless otherwise stated. Fees are subject to change with notice.

8.4 Refunds

Refund eligibility:

  • Registration fees are generally non-refundable once payment is processed
  • Transfer fees are non-refundable once a transfer is completed
  • Refunds may be issued in cases of system errors, duplicate payments, or as required by Kenyan law
  • Refund requests must be submitted within 30 days of the original transaction
  • Refunds are processed through PesaPal and may take 5-10 business days

8.5 Failed Payments

If a payment fails through PesaPal, the transaction will not be completed. You may retry the payment. We are not responsible for payment failures due to issues with your payment method, bank, or PesaPal's systems.

9. Prohibited Activities

You are strictly prohibited from:

9.1 Fraudulent Activities

  • Registering assets you do not own or have authorization to register
  • Registering stolen, fraudulently obtained, or illegally acquired assets
  • Providing false, misleading, or inaccurate asset information
  • Falsely reporting assets as stolen
  • Attempting to transfer assets you do not own
  • Using stolen or unauthorized transfer codes

9.2 System Abuse

  • Attempting to hack, breach, or compromise the security of the Service
  • Using automated systems (bots, scrapers) without authorization
  • Manipulating or attempting to bypass fraud detection systems
  • Interfering with or disrupting the Service
  • Reverse engineering or attempting to extract source code

9.3 Unauthorized Access

  • Accessing accounts or data belonging to other users without authorization
  • Sharing your account credentials with others
  • Impersonating other users or entities
  • Attempting to gain unauthorized administrative access

9.4 Violation Consequences

Violation of these prohibitions may result in immediate account suspension or termination, legal action, reporting to law enforcement, and permanent ban from the Service. We reserve the right to investigate and take appropriate action for any suspected violations.

10. Service Limitations and Disclaimers

10.1 Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

  • Scheduled maintenance
  • Unscheduled downtime or technical issues
  • Third-party service outages
  • Force majeure events

We are not liable for any loss or damage resulting from Service unavailability.

10.2 Data Accuracy

We rely on information provided by users and third-party sources. We do not guarantee the accuracy, completeness, or reliability of:

  • User-provided asset information
  • Third-party API data (vehicle history, IMEI verification, etc.)
  • Search results or verification outcomes
  • Asset ownership records

You should independently verify asset information before making purchase decisions.

10.3 Fraud Prevention

While we implement fraud prevention measures, we cannot guarantee that all fraudulent activities will be detected or prevented. Our fraud prevention systems:

  • Flag suspicious activity for review
  • Block known stolen assets from transfer
  • Require manual review for certain transactions

However, fraud prevention is not foolproof, and we are not liable for losses resulting from undetected fraud.

10.4 Third-Party Services

The Service integrates with third-party services (PesaPal, Google Maps, external APIs). We are not responsible for third-party service availability, performance, terms, data accuracy, or failures.

11. Account Termination

11.1 Termination by You

You may request account deletion at any time through your account settings or by contacting us. Account deletion requests require manual review and confirmation. Some information may be retained for legal or fraud prevention purposes, as described in our Privacy Policy.

11.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent, illegal, or harmful activities
  • You provide false or misleading information
  • You abuse or misuse the Service
  • Required by Kenyan law or legal process
  • Your account is inactive for an extended period

11.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • We may delete or deactivate your account
  • Some information may be retained as required by Kenyan law or for fraud prevention
  • Asset registrations may remain in the system to prevent fraud
  • Outstanding fees remain due and payable

12. Intellectual Property

12.1 Our Intellectual Property

The Service, including its design, features, functionality, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

12.2 Your Content

You retain ownership of content you upload (asset images, documents, etc.). By uploading content, you grant us a license to use, store, and display that content as necessary to provide the Service.

13. Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW.

13.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Loss of or damage to assets
  • Failure to recover stolen assets
  • Errors or inaccuracies in asset information
  • Service unavailability or interruptions
  • Third-party service failures

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13.3 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • False or inaccurate information you provide
  • Fraudulent activities you engage in

14. Dispute Resolution

14.1 Contact Us First

If you have a dispute, concern, or complaint, please contact us first at info@ileapp.net. We will attempt to resolve the matter in good faith.

14.2 Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kenya.

14.3 Class Action Waiver

You agree that any disputes will be resolved individually, not as part of a class action or representative proceeding.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Sending you an email notification for significant changes
  • Displaying a notice in the application

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.
